  • Skipan, verkefni og starfshættir stjórna fyrirtækja sem skráð eru í Kauphöll Íslands á tímabilinu 2005 til 2013 hafa breyst marktækt. Konur sátu ekki í stjórnum 2005 en nú eru þær 45% stjórnarmanna. Verkefni stjórna einkennast af þáttum er lúta að stefnumörkun, eftirliti og framfylgni. Þær eru mun virkari en áður, kalla eftir meiri og betri upplýsingum, eru gagnrýnni og veita framkvæmdastjórn meira aðhald. Vinnubrögð hafa orðið markvissari, formfesta aukist, vinnureglur, starfsreglur og stjórnarhættir verið skerptir. Breytingar á fyrirtækjunum sjálfum hafa kallað á meiri þekkingu og fagmennsku í stjórnarherberginu. Efnahagshrunið haustið 2008 hafði margvíslegar afleiðingar í för með sér og teygði anga sína inn í stjórnarherbergin. Hrunið er greinilega hvati breytinga, bæði beint og óbeint. Í kjölfar þess hefur orðið hugarfarsbreyting sem hefur leitt til meiri ábyrgðar og árvekni í stjórnarherberginu.

    The composition of boards, their tasks and corporate governance awareness have changed significantly in the boardrooms of companies listed on the Icelandic stock exhange from 2005 to 2013. Women were not seated at the boardroom table but are now 45% of board members. The boards tasks are characterised by control, strategic planning and the implementation of strategy. The boards are now more active than before, request more and better information, are more critical and keep a closer eye on the management team. Procedures and processes in the boardroom are now more focused and formal. Guidelines and rules regarding working procedures and corporate governance in general have been made sharper. Changes in the companies themselves demand more knowledge and expertise in the boardrooms. The economic crisis that hit Iceland in the fall of 2008 had complex consequences, both in the Icelandic society and in the boardrooms. In retrospect the crisis has proved to be a catalyst, both directly and indirectly, of change. The crisis has led to a change in the mindset of boards, increasing caution and the sense of responsibility for the boards actions in the boardroom.
