  • Rekstraraðilum fagfjárfestasjóða er lögum samkvæmt skylt að tilkynna um stofnun fagfjárfestasjóða til opinberra yfirvalda og lúta lágmarkseftirliti Fjármálaeftirlitsins. Vegna tilkynningarskyldu sjóðanna er það markmið umfjöllunarinnar að meta skilgreiningu fagfjárfestasjóða í lögum nr. 128/2011 um verðbréfasjóði, fjárfestingarsjóði og fagfjárfestasjóði með tilliti til samspils greinarinnar við 4. mgr. 62. gr. sömu laga um tilkynningarskyldu fagfjárfestasjóða til opinberra yfirvalda. Lagt verður mat á það hvort skilgreiningunni sé ætlað að taka til allra sjóða um sameiginlega fjárfestingu sem boðnir eru til fagfjárfesta. Þannig verða færð ýmis rök fyrir því að skilgreining laganna á fagfjárfestasjóðum sé ekki nægilega skýr í núgildandi lögum og hvers vegna nauðsynlegt er að hún sé tekin til endurskoðunar og skýrð frekar. Í því samhengi verður litið til tilskipunar 2011/61/EB „Alternative Investment fund Manager Directive“, um rekstraraðila fagfjárfestasjóða og reynt að varpa ljósi á hvaða áhrif skilgreining tilskipunarinnar getur haft á núgildandi skilgreiningu á fagfjárfestasjóðum í lögum um verðbréfasjóði, fjárfestingasjóði og fagfjárfestasjóði. Þróun löggjafar um verðbréfasjóði gefur tilefni til að ætla að regluverk um fagfjárfestasjóði muni verða viðameira á komandi árum. Þannig hafa reglur um verðbréfasjóði þróast frá því að vera lágmarksreglur til ítarlegs regluverks um sjóðina. Með innleiðingu AIFMD-tilskipunarinnar má vænta mikilla breytinga á rekstrarumhverfi fagfjárfestasjóða á Íslandi þar sem mun fleiri sjóðir munu falla undir gildissvið nýrra laga en nú þekkist. Rekstraraðilar sjóðanna mega því vænta þess að þurfa að aðlaga sig nýjum reglum og ítarlegri kröfum um starfshætti rekstrarfélaga.

    Management companies that manage professional investor funds are by law obligated to inform the Financial Supervisory Authority on establishment of a professional investor fund which are subject to limited surveillance. Based on the informative obligation the objective is to evaluate the definition of professional investor funds in act. no 128/2011 on undertakings for collective investment in transferable securities, investment funds and professional investor funds, with respect to the interaction to paragraph four in article 62 of the same act and in relation to the informative obligation to public authorities in Iceland. The objective is to analyze if the definition of professional investor fund include all types of investment funds which are operated on joint investments that are available for professional investors. Taking above into consideration arguments will be set forth which lead to the conclusion that the current definition by law is unclear and why it is critical to redefine and explain further the meaning of the definition. In this context the Alternative Investment fund Manager Directive No. 2011/61/EB will be analyzed with the main purpose to understand and highlight the effect the directive can have on current definition by law towards professional fund as defined in act. no 128/2011 on undertakings for collective investment in transferable securities, investment funds and professional investor. In general the development of the act on investment funds indicate that legal acts and regulations of the said funds presumably will be extensive in the near future. In example, the legal acts and regulations have developed from being minimum requirements to the extent of full blown regulations to control the funds. With initiate of the AIFMD directive into Icelandic legislation one can expect critical changes in the environment of management companies that manage professional investor funds. The presumed changes will influence various funds which are currently not defined within the scope of the law, as they will fall within the scope of the law after the changes. Management companies of the funds can therefore expect in the near future adjustments of their operations in accordance to presumed changes of the legal requirements
