  • Viðfangsefni þessarar ritgerðar er að meta áhrif tilskipunar Evrópusambandsins (EC) nr. 59/2014, um viðbúnað, skil og slit fjármálafyrirtækja (BRRD) á réttarstöðu kröfuhafa og hluthafa við slitameðferð og væntanlega skilameðferð fjármálafyrirtækja. Tilskipunin verður innleidd hér á landi í gegnum aðild Íslands að Evrópska efnahagssvæðinu.
    Í ritgerð þessari er fyrst rakin forsaga breytinganna, allt frá nefndarstarfi Evrópusambandsins til útfærslna framkvæmdastjórnar Evrópusambandsins. Svo er farið yfir réttarstöðu kröfuhafa og hluthafa fjármálafyrirtækja samkvæmt núgildandi lögum. Næst verður farið með ítarlegum hætti yfir allar þær breytingar á umhverfi fjármálafyrirtækja og eftirlitsaðila á fjármálamarkaði sem innleiddar verða með nýju BRRD tilskipuninni.
    Því næst verða áhrif hinna nýju skilameðferðarúrræða á réttarstöðu kröfuhafa og hluthafa við skilameðferð fjármálafyrirtækis skoðuð, með hliðsjón af meginreglum BRRD tilskipunarinnar og hins nýja skilasjóðs. Einnig verður farið yfir það hvort réttarstaða þessara rétthafa skerðist með þessu nýja regluverki og hvaða úrræði séu til staðar til að verja hagsmuni þeirra.

    Að lokum verða dregin saman aðalatriði ritgerðarinnar og niðurstöður ásamt mati höfundar á þeim álitaefnum sem reyndi á. Að mati höfundar ber þar helst að nefna að skerðing á réttindum kröfuhafa og hluthafa er ekki jafn mikil og við var búist.

    The objective of this thesis is to evaluate the new European recovery and resolution of credit institutions and invest firms directive, also known as the Bank Recovery and Resolution Directive (hereinafter: BRRD), and how it will be implemented into Icelandic legislation. Special emphasis will be placed on both the recovery process and the resolution process of financial institutions, as well as how it will effect creditors and shareholders.
    The directive is currently awaiting implementation here in Iceland through the EEA Agreement. The thesis will provide a thorough overview of the development of the regulatory framework surrounding financial institutions in Iceland and how legislation around it has expanded and been altered over the last few decades. This discussion will be supplemented with a brief, yet precise, summary of the recent financial Great Recession in Iceland and how it corresponds to the opinion of Parliament´s Special Investigation Commission (SIC). This shall be followed by a summary about the European Union's response to the financial crisis of 2007-2008.
    Thereafter, the thesis turns its attention to Iceland's current bankruptcy legislation in regard to financial institutions. Following this, the thesis aims to describe and analyse the major regulatory and policy changes expected to accompany the BRRD and how Iceland intends to implement these important changes in regard to the current environment surrounding the financial regulatory authority, that is to say; Iceland's Supervisory Authority (FME).
    The thesis endeavours to examine and evaluation foreseen alterations and amendments to domestic legislation and its possible on creditors and shareholders. Emphasis will be placed on the application of the BRRD resolution as a new regulatory mechanism.
    Finally, there will be an epilogue about the thesis´s subject. The conclusion is that the effects on shareholders and creditors will not be as significant as expected.
