  • Markmið ritgerðarinnar er að leiða í ljós hvenær einkakaupasamningar og skilyrtir afslættir markaðsráðandi fyrirtækja teljast fara í bága við 11. gr. samkeppnislaga og hliðstæða 102. gr. Lissabonsáttmálans. Í fyrstu þremur köflum ritgerðarinnar er fjallað um þróun og tilgang samkeppnislöggjafar, misnotkun á markaðsráðandi stöðu og þau atriði sem hafa þýðingu þegar skorið er úr um hvort tiltekið fyrirtæki hafi slíka stöðu. Næst, í kafla fjögur, gerir höfundur grein fyrir inntaki einkakaupasamninga og skilyrtra afslátta, ásamt því að rannsaka þau atriði sem litið er til við mat á lögmæti slíkra aðgerða. Nálgast höfundur viðfangsefnið fyrst út frá formbundinni nálgun sem lengstum hefur verið stuðst við bæði í evrópskri og íslenskri samkeppnisframkvæmd. Síðar er fjallað um hvort viðhorf í samkeppnisrétti hafi breyst og gefi frekar tilefni til beitingar efnahagslegrar nálgunar. Þá skoðar höfundur einnig hvort úrlausnir íslenskra samkeppnisyfirvalda í þeim efnum séu í samræmi við framkvæmd stofnana Evrópusambandsins.
    Jafnvel þótt athugunin hafi leitt í ljós tilhneigingu framkvæmdastjórnar Evrópusambandsins til beitingu efnahagslegrar nálgunar er nokkurt ósamræmi að finna í niðurstöðum Evrópudómstólsins. Fjallar höfundur í því samhengi einkum um þrjá dóma frá árinu 2012 sem hver leiðir til ólíkrar niðurstöðu. Þá kemur fram að beiting efnahagslegrar nálgunar hefur ekki viðgengist í íslenskum samkeppnisrétti við mat á lögmæti einkakaupasamninga og skilyrtra afslátta markaðsráðandi fyrirtækja. Leiða má af túlkun Samkeppniseftirlitsins á dómaframkvæmd Evrópudómstólsins, að áfram verði stuðst við formbundna nálgun í íslenskum rétti þar til annað komi í ljós.

    The purpose of this bachelor‘s thesis is to reveal up to which point exclusive purchasing agreements and conditional rebates of dominant undertakings are contrary to Article 11 of the Icelandic Competition Act and a comparable Article 102 of the Treaty on the functioning of the European Union. The first three chapters of the thesis discuss the developement and purpose of competition law, abuse of a dominant position and the factors which are relevant in order to determine the existance of such a position. Subsequently, in chapter four, the author explains the nature of exclusive purchasing agreements and conditional rebates, along with examining the factors which have to be considered in assessing the legality of such conduct. Firstly, the author takes a form-based approach to the subject that has traditionally been applied by EU and Icelandic Competition Authorities. Later, it is discussed whether there is a trend forming towards a more effects-based approach. Lastly, the author considers whether the decisions of Icelandic Competition Authorities in this regard are in line with the practice of the European Commission and the EU courts.
    Even though the study reveals that the European Commission tends to apply an effects-based approach, the findings of the European Court of Justice have been inconsistent in this respect. In this context, the author discusses three judgements from the year 2012, each leading to a different conclusion. Furthermore, the application of an effects-based approach is not customary in Icelandic competition law when assessing the legality of exclusive purchasing agreements and conditional rebates of dominant undertakings. Rather, in light of the way Icelandic Competition Authorities interpret the case law of the European Court of Justice, a formed-based approach will be applied until the opposite occurs.
