  • Viðfangsefni ritgerðarinnar er að varpa ljósi á tengsl firmaheita og vörumerkja í íslenskum rétti með áherslu á hvaða úrræði standa eigendum vörumerkja og firmaheita til boða þegar þessum tveimur auðkennum lýstur saman. Í 2. kafla er fjallað almennt um vörumerki, skilyrði verndar og hvað felst í einkarétti að vörumerki. Í 3. kafla er fjallað með sambærilegum hætti um firmaheiti. Bent er á ýmsa vankanta á íslenskri löggjöf um firmaheiti og misbresti í framkvæmd í tengslum við skráningu og aðra meðferð firmaheita. Komist var að þeirri niðurstöðu að brýnt sé að endurskoða íslensku firmalögin og í því sambandi sé vænlegt að líta til löggjafar í Noregi, Svíþjóð og Finnlandi. Í 4. kafla er fjallað um það þegar einkaréttur eiganda firmaheitis og vörumerkis lýstur saman. Komist var að þeirri niðurstöðu að eigandi firmaheitis geti komið í veg fyrir notkun og/eða skráningu vörumerkis ef réttur til firmaheitisins er eldri en vörumerki það sem um ræðir, ef firmaheitið felur í sér nægjanlegt sérkenni og ef vöru- og merkja íking er til staðar milli firmaheitisins og vörumerkisins. Eigandi irmaheitis getur þó ekki eingöngu byggt á firmalögunum heldur þarf ávallt að beita ákvæðum vörumerkjalaga og/eða laga um eftirlit með viðskiptaháttum og markaðssetningu samhliða þeim. Þá var komist að þeirri niðurstöðu að eigandi vörumerkis geti komið í veg fyrir skráningu og notkun firmaheitis á grundvelli vörumerkjalaga, lögjöfnunar frá firmalögum og/eða lögum um eftirlit með viðskiptaháttum og markaðssetningu. Fjögur skilyrði þurfa að vera uppfyllt svo eigandi vörumerkis geti bannað notkun eins eða líks firmaheitis. Þannig þarf firmaheitið að vera notað í viðskiptum, notkunin þarf að vera án leyfis eiganda vörumerkisins, vöru- eða þjónustulíking þarf að vera til staðar og notkun firmaheitisins þarf að hafa áhrif, eða vera líklegt til að hafa áhrif, á hlutverk vörumerkisins. Takmarkanir eru þó á einkarétti vörumerkis sé notkun firmaheitis í samræmi við góða viðskiptahætti.

    The subject of this dissertation is to shed a light on the relation between trade names and trademarks in Icelandic law with an emphasis on what measures are available for owners of such identifications when one collides against the other. Chapter two deals with trademarks in general, conditions for such protection and the subject of such protection. Chapter 3 contains a similar discussion regarding trade names. A few defects are pointed out that are present in the Icelandic legislation concerning trade names and failures in execution relating to the registration and general handling of trade names. The conclusion is that it is important to revise the Icelandic trade laws, and it is feasible to look to legislation in Norway, Sweden and in Finland. Chapter four concerns the situation when a trade name and a trademark collide with one another. The conclusion is that trade name owners may prevent the use and/or registration of a trademark if the trade name is older than the trademark in question, the trade name as a certain distinctive character, and the trade name and the trademark pertain to the same goods and/or services. Nevertheless, the trade name owner cannot rely solely on the trade act, but must always apply in parallel the Trademark Act and/or the Act concerning business practices and marketing. Furthermore, the conclusion was reached that a trademark owner can prevent the use and/or registration of a trade name by applying the Trademark Act, by analogy from the Trade name Act and/or based on the Act concerning business practices and marketing. However, four conditions must be satisfied: the trade name has to be used in the course of business, the use must be without the consent of the proprietor of the mark, it must be in respect of goods or services which are identical to those for which the mark is registered, and the use must affect or be liable to affect the function of the trademark. The exclusive right is, however, not without limitation when the use of the trade name is in accordance with good busi ess practices.
